Addendum F: Flux — Automated Service Management

This Addendum F ("Addendum") is attached to and made a material part of the Socium IT Master Services Agreement ("MSA"). This Addendum shall at all times be governed and controlled by the terms and conditions of the MSA.
Services
Service Description
Company provides Client with access to Flux, Company's proprietary automated service management platform ("Flux" or the "Platform"). Flux enables automated management and provisioning of Client's carrier services for which a supported carrier API is available, delivered as a cloud-based Software as a Service (SaaS) platform. The Platform currently supports services including but not limited to Internet on Demand (IoD), Ethernet on Demand, IPVPN on Demand, DDoS Mitigation, and Voice. Additional carrier services may be added as APIs become available. Capabilities include:
- Automated submission of service modification orders to supported carriers via API integration
- Automated submission of new service orders to supported carriers via API integration, where carrier API supports provisioning
- Configuration and execution of service schedules (e.g., peak/off-peak bandwidth tiers, time-of-day rules, day-of-week rules)
- Self-service change and order initiation through the Flux user interface
- Real-time monitoring, status tracking, and audit logging of all service change and order operations
- Dashboard visibility into managed service status, usage, and change history
- Notification of service change completions and failures via configured channels
Service changes and orders submitted through Flux are Automated Services as defined in the Agreement and may result in direct modifications to Client's carrier services and associated Carrier Charges.
Authorization and Financial Acknowledgment
Client authorizes Company and the Platform to submit service modification orders and new service orders to supported carriers on Client's behalf via API. This authorization encompasses: (a) automated scheduled service changes executed based on Client-configured schedules without per-transaction approval; (b) self-service changes and orders initiated by Authorized Users; and (c) operational changes initiated by Company's operations team at Client's request.
Client acknowledges that each service modification or new service order constitutes a binding service change with the applicable carrier that may directly alter Client's monthly recurring charges. Client is solely responsible for all Carrier Charges resulting from changes and orders submitted through the Platform in accordance with Client-configured schedules, Authorized User actions, or Client instructions.
Client Responsibilities
Client is responsible for the accuracy of all configurations entered into the Platform, including service parameters, schedule settings, spending guardrail settings, and Authorized User designations. The Platform will execute service changes and orders as configured. Configuration errors that result in unintended changes or Carrier Charges are Client's sole responsibility.
Client shall review and approve all schedule configurations before activation. Approval may be provided through the Platform interface or via email confirmation. Client is also responsible for periodically verifying that service changes have been applied correctly by checking the applicable carrier portal, particularly for business-critical services.
Credential Handling
Carrier Credentials provided by Client for Flux are governed by the credential handling provisions of the Agreement. Client is responsible for providing valid Carrier Credentials, notifying Company of credential changes or revocations, and rotating credentials per Client's security policies.
License and Access
During the Term, Company grants Client a non-exclusive, non-transferable license to access and use Flux over the internet solely for Client's internal business operations related to managing Client's carrier services. Platform access is governed by the intellectual property and usage provisions of the Agreement.
Client may designate Authorized Users with the following permission levels:
- Viewer: View-only access to service status, change history, and reports
- Operator: Ability to initiate on-demand service changes and orders within configured guardrails
- Administrator: Full access including schedule configuration, guardrail settings, and user management
Client is responsible for designating Authorized Users, ensuring compliance with this Addendum, promptly revoking access for users who no longer require it, and all actions taken by Authorized Users within the Platform.
Service Level Objectives
Platform Uptime
Company will use commercially reasonable efforts to maintain 99.5% Platform availability, measured monthly. Scheduled maintenance (24 hours advance notice), carrier API outages, force majeure events, and issues caused by Client are excluded from downtime calculations.
Scheduled Changes
Processed within thirty (30) minutes of the scheduled execution time.
Self-Service Changes
Submitted to carrier API within five (5) minutes of Authorized User initiation.
Failure Notification
Client notified of failed changes within five (5) minutes of failure detection via the configured notification channel.
Downtime Notification
Company will notify Client of unplanned downtime within one (1) hour of detection with updates every four (4) hours until resolution.
Audit Trail
All service change and order operations are logged with timestamp, service identifier, requested and resulting parameters, trigger type (scheduled, self-service, or manual), order status, and error details for failed operations. Self-service actions additionally log the identity of the Authorized User. Audit logs are accessible to Client Administrators through the Platform.
Data Ownership and Portability
Client retains ownership of all Client data entered into or processed through the Platform. Upon written request and within thirty (30) days following termination of this Addendum, Company will provide Client with a final export of Platform data in a standard machine-readable format (e.g., CSV or JSON). Company will retain Client data for the duration of this Addendum plus twelve (12) months following termination, after which it will be securely deleted unless a longer period is required by law.

Fee Calculation
Client pays a $50 monthly platform fee plus $15 per month for each managed service added to the Platform. A managed service is defined as a distinct carrier service (identified by a unique circuit or service identifier) actively configured within Flux.
Example: If Client has 10 IoD circuits managed through Flux, the monthly fee is $50 + (10 x $15) = $200.
Fee Adjustments
If the number of managed services increases or decreases during the Term, the per-service fee will be adjusted accordingly, effective in the next billing cycle.
Invoicing
Company will issue invoices on a monthly basis, no later than the fifth (5th) business day of each month.
Term
Unless a separate term is expressly stated herein, the term for the services described in this Addendum shall be coterminous with the Agreement.
Early Termination
In the event this Addendum is terminated prior to the end of its Term, Client shall pay the average monthly Flux subscription fee for the six (6) months preceding termination, multiplied by the number of months remaining in the Term, together with any additional costs and expenses contemplated in the Agreement.
Effect of Termination
Upon termination: Client's access to the Platform will be revoked; all active service schedules will be deactivated; Company will provide Client with a final data export per the Data Ownership section above; Company will securely delete Client's Carrier Credentials within thirty (30) days; and Client remains responsible for any Carrier Charges resulting from service changes or orders executed prior to termination.
Other Terms
- Liability: Company's total aggregate liability arising out of or relating to this Addendum shall not exceed the total Flux subscription fees paid by Client to Company in the twelve (12) months preceding the event giving rise to the claim. All other liability terms are governed by the Agreement, including Carrier Charge exclusions.
- Security: Company shall encrypt all data at rest using AES-256 (or equivalent) and in transit using TLS 1.2 or higher.
- Third-Party API Dependency: The Platform depends on the availability and functionality of supported carrier APIs. Company is not responsible for changes to, outages of, or errors in carrier APIs. In the event of material changes that affect Platform functionality, Company will notify Client and use commercially reasonable efforts to update the Platform within a reasonable timeframe.
- Fair Use: Client's use of the Platform is subject to a maximum of one hundred (100) service change requests per managed service per calendar month and a maximum of one million (1,000,000) total API calls per site per calendar month across all services. This limit ensures reasonable use aligned with the intended automation function of the Platform. Company will notify Client if usage approaches these thresholds.
- Carrier Scope: This Addendum covers carrier services for which Company has published a supported API integration within the Platform. As of the Effective Date, supported services include Lumen NaaS offerings (Internet on Demand, Ethernet on Demand, IPVPN on Demand, DDoS Mitigation/Lumen Defender, and Voice Complete). Expansion to additional carriers requires a Change Order or separate agreement. Addition of newly supported Lumen NaaS services does not require a Change Order.
- Indemnification: In addition to the indemnification obligations in the Agreement, Client shall indemnify Company from claims arising from: Carrier Charges resulting from authorized service changes or orders; claims by carriers or third parties arising from Client-provided Carrier Credentials; Client's breach of this Addendum; and actions taken by Client's Authorized Users.
- Conflict with MSA: In the event of a conflict between this Addendum and the Agreement, the terms of this Addendum shall govern solely with respect to the Flux services described herein.
